Explanatory Memorandum of Membership Benefits
I. Event Description
- Registration Gift：
- First-time members will receive 100 points immediately upon completion of registration (limited to two gifts per member), valid until 12/31 of the year following the date of registration.
- How to register: Go to Bird's Nest official reservation website → click "Login/Register" → click "Register Now" → fill in your information and click "Register" → go to your e-mail address to complete your e-mail verification → go back to the reservation website and log in as a member to start accumulating and utilizing your membership benefits.
- Exclusive Member's Price：
- Upon completion of registration, you can immediately enjoy 5% off on the exclusive price for General Card members; 10% off on the exclusive price for Silver, Gold, Platinum and Diamond Card members upon upgrading.
- Exclusive member rate is calculated based on the room rate of the official Bird's Nest qualified order, some programs are not applicable, the price is based on the amount shown on the site of each hotel and the official Bird's Nest booking website.
- Spending Rebate：
Spending rebate points, calculated based on member level spending rebate (%) and qualifying spending, will be returned to the account within 24 hours of check-out and will be valid until 12/31 of the year following the check-out date.
(Example: 15%* qualified spending of $1,000 will be rewarded with 150 points after check-out for Diamond Cardmembers) - Late Checkout Voucher：
- Delayed check-out vouchers are e-tickets (also known as "delayed check-out vouchers").
- Members who have reached the upgrade threshold for the number of eligible room nights in a year will be upgraded within 24 hours after check-out, and the system will calculate the number of deferred refund coupons according to the member's level and return them to the upgraded member's account, with the validity period up to 12/31 of the year following the date of check-out.
The number of room nights will be calculated according to the actual number of nights stayed by the member.
(Example: Member A booked a Qualifying Order of 2 rooms, check-in on 2026/01/01 to check-out on 2026/01/04, with an annual cumulative room night count of 3 nights.2026/01/05 (within 24 hours after check-out date) Upgraded Silver Card, 1 late check-out coupon will be issued, valid until 2027/12/31)
- Limit one voucher per qualifying order. One voucher can be used to designate one room for one hour late check-out.
- You are advised to make your reservation through the official website of Bird's Nest, or inquire in advance when making your reservation, in order to protect your rights and interests.
- The use of the late check-out coupon is subject to the actual room conditions. In the event of full occupancy, special holidays or other force majeure circumstances, the Company may temporarily restrict or refuse the use of the coupon by the member.
- Friends Invitation：
- Go to Bird's Nest Official Reservation Website > Click on "Member Login" > Click on "Member Zone" > Click on "Invite Friends" > Obtain a personalized referral code > Share with a friend > Enter your referral code when your friend registers and completes the registration to become a new member.
- New Member] Enter the referral code when registering, complete the first booking and check-in at the official Bird's Nest Reservation website, you will receive a referral gift of 100 points (to be credited within 24 hours after check-out).
- For the first time a new member makes a reservation and stays in the room after registration, the referee will receive 100 points or 2% of the new member's first booking amount (the preferred rebate will be credited within 24 hours of the new member's check-out), and will continue to receive 2% of the amount of the new member's subsequent bookings. (The amount of the booking will be based on the actual amount of the transaction after deducting discounts, point credits, and other discounts. (The booking amount is based on the invoice amount of the transaction after discounts and point credits are deducted).
- Reward points for the Friend Invitation Gift (including new members and referrals) are valid until 12/31 of the year following the new member's check-out date.
II. Description of the upgrade
- Threshold for promotion：
Calculate the cumulative number of qualifying room nights by year (01/01-12/31). Recalculate every year.
Members will be upgraded within 24 hours of check-out if they have reached the threshold for upgrading the room nights they have accumulated during the year.
The number of room nights is based on the actual number of nights stayed by the member.
(Example: Member A booked a Qualifying Order of 2 rooms, check-in on 2026/01/01 to check-out on 2026/01/04, with an annual cumulative room night total of 3 nights).
- Equivalent validity period：
It expires on the last day of February of the year following the year in which it was accrued.
(Example: Member A has accumulated 20 qualifying room nights in FY2026 (Diamond Card threshold) and membership expiration date until 2028/02/29 expiration). - Membership Adjustment：
If the cumulative number of qualified room nights in the year prior to the expiration date of the membership does not meet the current grade threshold, the membership grade will be adjusted and the related membership benefits will be issued on the next day after the expiration date, based on the cumulative number of qualified room nights in the previous year.
(Example: Member A has accumulated 20 qualifying room nights in FY2026 (Diamond threshold), membership expiration date until 2028/02/29 expiration date. 2027 has accumulated 5 qualifying room nights in FY2027 (Gold threshold), then on 2028/03/01, the membership level will be adjusted to Gold member and 2 late check-out coupons will be issued, membership expiration date until 2029/02/28). - Membership Benefit Enquiry：
Membership level, annual cumulative nights, membership expiration date, etc. can be found on the Bird's Nest Official Reservation Website → Login to Membership → Click on "Membership Area".
Points
- Points Accumulation：
Spending rebate points, calculated based on member level spending rebate (%) and qualifying spending, will be returned to the account within 24 hours of check-out and will be valid until 12/31 of the year following the check-out date.
(Example: Diamond Cardmember spends 15% x qualifying spend of $1,000 and will be rewarded 150 points after check-out) - Points Discount：
- 1 point for $1 off a qualifying purchase.
- Please show your membership card at the time of booking or before checkout to inform us of your needs.
- Points validity period：
All points have an expiration date, the validity of the consumption rebate points will expire on 12/31 of the year following the check-out date, and the activity bonus points will expire according to the announcement, and will not be reissued or exchanged for merchandise or discounts after the expiration date.
- Supplementary Notes：
- Membership Points cannot be accumulated retroactively. Points cannot be accumulated or redeemed for purchases made prior to becoming a member.
- Membership points can only be used to offset qualified purchases and cannot be exchanged for cash.
- In the event of a failed, canceled or refunded transaction, the transaction will not be eligible for rewards; points will be refunded if they have been issued; and points will be refunded if a credit was applied to the purchase.
- Points may not be split or transferred.

Qualified Order] refers to orders or purchases made through the Company's official booking website, telephone, or on-site booking, and the orders have registered member information; rest programs or through third-party platforms (including, but not limited to, Agoda, Booking, Hotels.com, etc.), ticketing platforms (including GOMAJI, MOMO, etc.), or bulk purchase, accommodation tickets, hospitality vouchers, free accommodation vouchers, travel agencies, etc. (including their mark-up amounts) are not included in the calculation of Qualified Order, and are not applicable to member point accumulation, discounts or other exclusive offers. Bookings or purchases made through bulk purchases, accommodation vouchers, hospitality vouchers, free accommodation vouchers, travel agencies, etc. (including their mark-ups) will not be included in the calculation of eligible orders, and will not be eligible for member point accumulation, discounts or other exclusive benefits.
Eligible Room Nights] refers to the number of eligible room nights that the member himself/herself has stayed in. Rest programs (non-lodging) are not counted as room nights; multiple rooms with the same check-in date are counted as only 1 room night. No splitting or transferring is allowed.
Eligible Spending】means the amount (excluding service charge and other fees) of the Room Charge of the Eligible Order after deduction of accommodation voucher credit, point credit or any form of discount coupon/coupon to calculate the number of reward points to be recognized for the spending.
Coupon" is a generic term for "discount coupon", "complimentary coupon", "late check-out coupon", and other coupons.

- Accumulation and Use of Members' Equity：
- Applicable to qualified orders only.
